Terms of service

1. Parties
These terms govern the provision of consulting services by LUCIDi4 Limited, a company registered in Hong Kong SAR (“LUCIDi4”, “we”) to the client identified in a written Statement of Work.
2. Engagement
Each engagement is governed by a written Statement of Work signed by both parties, which sets out the scope, deliverables, timeline, fee, and named engagement lead. These terms apply in addition to the Statement of Work. Where the two conflict, the Statement of Work prevails.
3. Fees and payment
Fees are fixed in the Statement of Work. Payment is due in full before engagement commencement, unless the Statement of Work provides otherwise. Payment is taken by secure card link issued by our payment processor; card data is handled by the processor and is not accessible to LUCIDi4. Travel and laboratory expenses are passed through at cost against receipt and are invoiced separately.
4. Service delivery, refunds and cancellation

5. Deliverables
We will deliver the scope described in the Statement of Work with reasonable skill and care. Written deliverables are signed off at the end of each engagement phase. Recommendations are advisory; implementation decisions and outcomes remain with the client.
6. Confidentiality
Both parties will treat information exchanged during an engagement as confidential and will not disclose it to third parties except as required by law or by the engagement itself. Confidentiality obligations survive termination of the engagement for five years.
7. Intellectual property
Client materials provided to LUCIDi4 remain the client’s property. Deliverables prepared for the client are assigned to the client on payment in full. LUCIDi4 retains ownership of its underlying methods, frameworks, and pre-existing materials.
8. Liability
LUCIDi4’s aggregate liability arising out of or in connection with an engagement is limited to the fees paid by the client for that engagement. Neither party is liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited under Hong Kong law.
9. Governing law
These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over any dispute arising out of or in connection with them.
